These Terms of Service (“Terms”) govern your access to and use of Koachly, operated by Koachly Inc. By using the service, you agree to these Terms.

1. Acceptance

By accessing or using Koachly, you agree to be bound by these Terms. If you do not agree, do not use the service. These Terms apply to all users, including individuals, employees, and organization administrators.

2. Service Description

Koachly is an AI-powered conversation coaching platform. It provides real-time guidance, post-session analysis, and knowledge management tools for professional conversations. Koachly does not provide legal, financial, medical, or compliance advice.

3. Account Terms

You are responsible for maintaining the confidentiality of your account credentials. You must provide accurate information when creating an account. You are responsible for all activity that occurs under your account. You must be at least 16 years old to use the service.

4. Acceptable Use

You agree not to use Koachly to record or process conversations without the knowledge and consent of all participants where required by applicable law. You agree not to use the service for any unlawful purpose, to harass others, or to collect data about participants without authorization.

5. Intellectual Property

Koachly retains all rights to the platform, its technology, and its brand. You retain ownership of the content and data you input into the service. You grant Koachly a limited license to process your data for the purpose of delivering the service.

6. Third-Party Services

Koachly uses third-party AI providers to deliver coaching functionality, including OpenAI and Anthropic. These providers process conversation data on our behalf under strict confidentiality obligations. Use of Koachly constitutes your acknowledgment that data may be processed by these providers solely for the purpose of delivering the service. Koachly is not responsible for the availability, accuracy, or practices of third-party services.

7. Refund Policy

Pro and Business plans are billed monthly. You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. We do not issue refunds for partial months or unused portions of a billing cycle. If you believe you were charged in error, contact us at billing@koachly.ai within 30 days of the charge.

8. Limitation of Liability

Koachly is provided 'as is.' To the maximum extent permitted by law, Koachly disclaims all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose. Koachly shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the service. In any event, Koachly's total aggregate liability to you shall not exceed the total amount you paid to Koachly in the twelve (12) months immediately preceding the claim.

9. Dispute Resolution

We encourage you to contact us before initiating any formal legal claim. Please reach out to legal@koachly.ai with a description of your concern, and we will make a good-faith effort to resolve it within 30 days. If a dispute cannot be resolved informally, it shall be governed by the courts of the Province of Ontario, Canada.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You consent to the exclusive jurisdiction of the courts located in Ontario, Canada for the resolution of any disputes.

11. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes by email or through a prominent notice in the product at least 14 days before the changes take effect. Continued use of the service after changes constitutes acceptance of the revised Terms.
